New Fund Formation Lead

The role leads the end-to-end formation of new funds for global investors. Responsibilities cover investment strategy and product design, including return and risk simulations based on target assets, operating-period and distribution-policy decisions, and liquidity design.

The position selects an appropriate vehicle, such as an LPS, GK-TK, TMK, or an offshore entity including a Cayman Islands corporation. It develops tax-efficient structures by considering pass-through taxation and tax treaties for cross-border investments.

Responsibilities also include negotiating LPAs with investors, designing management and performance fees, preparing English offering documents such as PPMs and IMs, and managing the deal process through execution. The role identifies required filings, registrations, and licensing requirements under Japan’s Financial Instruments and Exchange Act, and coordinates external lawyers, tax accountants, and other advisers to complete the formation process in compliance with applicable requirements.

After formation, the role selects and negotiates with custodians, administrators, and audit firms, and establishes processes for fund closing, audit support, and investor reporting.

Required qualifications include at least five years of practical experience in asset management and experience in product structuring, fund legal work, or planning, rather than investment management alone. At least one experience leading a fund-formation project is required. Business-level English for speaking and negotiation is welcomed.

The role is part of a newly established fund-formation function at TBM, a Japan-based deep-tech startup working in materials and resource circulation. The business context includes the LIMEX materials business, carbon recycling including CCU, and recycled-materials initiatives. The position is based in Chiyoda, Tokyo, with working hours from 9:00 to 18:00 including a 60-minute break. Holidays include Saturdays, Sundays, national holidays, and December 30 through January 3; the annual holiday total is 120 days. The employment type is full-time. Salary is an annual 9,000,000 to 13,000,000 JPY, determined according to experience, skills, and potential.
